General Terms and Conditions of Sale of R.O.N.A.X GmbH

Version: October 2026. This is a translation for information; in case of discrepancies the German version prevails.

1. Scope, customers

1.1 These terms apply to all contracts for the supply of car spare parts, accessories, tyres, lubricants and other goods between R.O.N.A.X GmbH, Universitätsstraße 60, 44789 Bochum, Germany (“we”) and its customers, whether the order is placed via the online shop, by e-mail, telephone, fax or otherwise.

1.2 We sell exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. By registering or ordering, the customer confirms that he acts in the exercise of his commercial or independent professional activity. We may request evidence of this (e.g. business registration, VAT identification number).

1.3 Deviating, conflicting or supplementary terms of the customer do not become part of the contract, even if we do not expressly object to them or deliver in knowledge of them. Individual agreements in text form take precedence over these terms.

2. Conclusion of contract

2.1 Goods, prices and availability shown in the online shop, price lists and quotations are non-binding and do not constitute a binding offer.

2.2 By placing an order, the customer makes a binding offer. The automatic acknowledgement of receipt is not yet an acceptance. The contract is concluded when we confirm the order in text form (order confirmation) or deliver the goods.

2.3 Goods procured specifically for the customer (special orders) cannot be cancelled after conclusion of the contract.

2.4 If ordered goods are unavailable because our supplier fails to deliver to us through no fault of our own, we may withdraw from the contract. We will inform the customer without delay and refund any payments already made.

3. Prices

3.1 The prices valid at the time of the order apply. All prices are in euros, net, plus statutory VAT, ex warehouse Bochum, excluding packaging, shipping, insurance, customs duties and other charges.

3.2 For intra-Community supplies and exports to third countries, invoices are issued without VAT only if the statutory requirements are met and proven (in particular a valid VAT ID or proof of export). Otherwise we will charge the statutory VAT subsequently.

4. Payment

4.1 Unless otherwise agreed, we deliver against prepayment. Payment on account or other payment methods are only possible by separate agreement; invoices are then due without deduction within the agreed period.

4.2 In the event of default, the statutory provisions apply, in particular default interest of nine percentage points above the base rate (Section 288(2) BGB) and the lump sum under Section 288(5) BGB. Further claims remain unaffected.

4.3 The customer may only set off undisputed claims or claims established by final judgment. He may only exercise a right of retention if his counterclaim is based on the same contractual relationship.

5. Delivery and passing of risk

5.1 We deliver ex warehouse to the delivery address specified by the customer or for collection. Stated delivery dates are non-binding unless expressly agreed as binding. Partial deliveries are permitted insofar as they are reasonable for the customer.

5.2 The risk passes to the customer upon handover of the goods to the forwarder, carrier or other person designated to carry out the shipment, and in the case of collection upon handover. If shipment or collection is delayed for reasons for which the customer is responsible, the risk passes upon notification of readiness for dispatch.

5.3 In the event of delays caused by force majeure or other circumstances for which we are not responsible (e.g. operational disruptions, official measures, failure of suppliers or carriers), delivery periods are extended appropriately.

6. Export, export control and sanctions

6.1 The customer is responsible for compliance with the import and export regulations of the country of destination applicable to him and provides us with the information and documents required for customs and export.

6.2 We are not obliged to perform if this is prevented by national or international foreign trade regulations, in particular embargoes and sanctions of the European Union. The customer warrants that the goods will not be passed on to listed persons or in breach of such regulations and will inform us of the end use upon request.

7. Retention of title

7.1 The goods delivered remain our property until all claims arising from the business relationship have been paid in full.

7.2 The customer may resell goods subject to retention of title in the ordinary course of business. He hereby assigns to us all claims arising from the resale in the amount of the invoice value of our goods; we accept the assignment. The customer remains authorised to collect these claims as long as he meets his payment obligations.

7.3 If the realisable value of the securities exceeds our claims by more than 10 %, we will release securities of our choice at the customer’s request.

8. Duty to inspect and give notice of defects

8.1 The customer must inspect the goods immediately upon receipt and notify us in text form of any recognisable defects, wrong deliveries or quantity deviations without delay, at the latest within five working days; hidden defects without delay after discovery (Section 377 of the German Commercial Code, HGB). If timely notice is not given, the goods are deemed approved.

8.2 Externally visible transport damage must be noted on the consignment note upon delivery and confirmed by the delivery agent.

9. Claims for defects

9.1 In the event of defects, we shall, at our option, provide subsequent performance by remedying the defect or delivering defect-free goods. If subsequent performance fails, the customer may withdraw or reduce the price in accordance with the statutory provisions.

9.2 The limitation period for claims for defects is one year from delivery. This does not apply to claims for damages under clause 10, in the case of fraudulent intent or in the cases of Sections 438(1) no. 2, 445b and 478 BGB.

9.3 In particular, damage caused by improper installation or use, natural wear and tear, incorrect handling, unsuitable operating materials or use on a vehicle for which the part is not intended does not constitute a defect. The customer is responsible for selecting the correct part on the basis of vehicle data, part number or vehicle identification number (VIN), unless we have expressly confirmed the fit. Spare parts, tyres and lubricants must be fitted or filled by qualified personnel.

9.4 Manufacturer guarantees exist, where granted by the respective manufacturer, in addition to the statutory claims; they are handled in accordance with the manufacturer’s conditions.

10. Liability

10.1 We are liable without limitation for intent and gross negligence, for damage resulting from injury to life, body or health, under the Product Liability Act and within the scope of guarantees given.

10.2 In the event of a slightly negligent breach of essential contractual obligations (obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely), our liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.

10.3 The above limitations also apply in favour of our employees, representatives and vicarious agents.

11. Returns, old parts and deposits

11.1 Entrepreneurs have no statutory right of withdrawal. Returns of defect-free goods are only possible by prior agreement; our return conditions apply (page “Returns”).

11.2 For parts subject to a deposit and the return of old parts, the information on the page “Old parts” applies.

12. Customer account and access data

The customer keeps his access data secret and informs us immediately if misuse is suspected. Orders placed via the customer account with correct access data are deemed to have been placed by the customer unless he proves that he is not responsible for the misuse.

13. Data protection

We process personal data in accordance with our privacy policy.

14. Final provisions

14.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

14.2 The place of performance is Bochum. The exclusive place of jurisdiction for all disputes arising from the contractual relationship is Bochum if the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany. We are also entitled to sue at the customer’s registered office.

14.3 The contract language is German. Translations of these terms are for information only; in case of discrepancies the German version prevails.

14.4 Should individual provisions be or become invalid, the validity of the remaining provisions remains unaffected.
